These Associates will be engaged in a wide spectrum of industries, including accounting and consulting, aviation, chemicals, equipment manufacturing, media and entertainment, pharmaceuticals, power generation and textiles.   Working with clients in the U.S. and around the globe.

• Advise clients on matters related to lending products, credit cards and payment products, and electronic commerce products 
• Handle regulatory and compliance matters related to secured and unsecured consumer lending and sales finance, as well as litigation 
• Assist clients with implementing effective internal controls for regulatory compliance and risk management purposes, conducting internal reviews and investigations 
• Assist with developing new retail financial products 
• Draft and review clients internal policies and procedures and employee training procedures 
• Draft and review customer forms, disclosures and notices, and assist clients in responding to and resolving inquiries from regulators and customers 

• Assist clients in structuring, negotiating and implementing M&A transactions in the United States and abroad 
• Handle both hostile and friendly transactions of public and private companies, acquirers, targets, boards of directors, independent director committees, management buyout groups, subordinated lenders and equity participants 
• Collaborate with lawyers in various corporate practice groups to analyze and structure transactions, make pre-merger filings, coordinate filing and review obligations with other aspects of the transactions 
• Develop and implement customized strategies that effectively support client objectives in a full range of M&A transactions 
• Advise clients on the U.S. law aspects of cross-border tender offers and other takeover bids, and manage the international aspects of M&A transactions 

• 4-5 post-admissions years of extensive corporate transactional banking and finance experience 
• Demonstrated experience handling a variety of M&A transactions, including but not limited to:  auction bids, executive compensation matters, financings, privatization, hostile takeover bids, joint ventures, leveraged buyouts, minority investments, open market purchase programs, shareholder rights plans, proxy fights, restructurings, sales of control, spin-offs, stock acquisitions, etc. 

• 3-4 post-admissions years of extensive international M&A experience 
• Demonstrated experience working with a variety of bank and non-bank providers of consumer finance products and services, including but not limited to: diversified financial services companies, credit card issuers, industrial loan companies, merchants, merchant acquirers and credit card processors, etc. 

• Admitted to and in good standing with the NYS Bar 
• Solid employment tenure with a top tier New York City law firm 
• Excellent academic credentials, graduating in the top 15% of class
